The governance system of Soleto SPA is based on a Board of Directors, a Board of Statutory Auditors, and an auditing company..
The governance system plays a fundamental role in managing daily operations in a simple and effective way, but it is also the fundamental basis for creating value in the medium-long term and achieving the company’s goals.
Board of Directors
The board consists of 5 members, who may be re-elected. The Board of Directors is entrusted with the powers of ordinary and extraordinary administration, with the authority to perform all acts it deems necessary and appropriate for the implementation and achievement of the corporate purpose.

Board of Statutory Auditors
The Board of Statutory Auditors oversees the regular administrative activities of the Board of Directors and compliance with the company’s bylaws. Furthermore, the Board of Statutory Auditors monitors the internal accounting system, the adequacy of the administrative organisation and internal organisation, the internal audit system, and the audit of accounts. It also ensures the continuity and consistency of the company with the codes of conduct to which the company adheres. The Board of Statutory Auditors consists of three members.
